These Terms and Conditions (“Agreement”) constitute a legally binding agreement between you (“Client” or “you”) and Katalyst-crm.com (“Katalyst-crm.com,” “we,” “us,” or “our”) governing the use of SMS and Email services provided by Katalyst-crm.com. By using our SMS and Email services, you agree to be bound by these terms and conditions. If you do not agree to these terms, please do not use our services.

1. Service Description:

Katalyst-crm.com offers SMS and Email services to facilitate communication between businesses and their customers. These services include but are not limited to bulk messaging, automated campaigns, and analytics.

2. Client Responsibilities:

2.1. You are solely responsible for the content of the messages and emails sent through Katalyst-crm.com.

2.2. You agree to comply with all applicable laws and regulations regarding the transmission of SMS and Email messages, including but not limited to anti-spam laws.

2.3. You shall ensure that you have obtained all necessary consents from recipients before sending any marketing messages or emails.

2.4. Upon completion of the 90-day trial, the responsibility to cancel the subscription rests solely with User.

3. Charges and Billing:

3.1. Charges for SMS and Email services are based on usage and are subject to change at any time without prior notice.

3.2. Billing for SMS and Email services will be based on the number of messages or emails sent, as well as any additional features or services utilized.

3.3. Payment for services is due upon receipt of the invoice. Failure to pay invoices may result in suspension or termination of services.

3.4. All charges are exclusive of taxes, which will be added to the total amount due where applicable.

4.  AI 

Charges per usage

• Premium Triggers & Actions: $0.015 per premium workflow action.
• Email Verification: $0.00375 per email verification.
• Content AI: $0.135 per 1,000 words and $0.09 per image.
• Workflow AI: $0.045 per GPT-4 and 4o execution, $0.0225 per GPT-3.5 execution.
• Conversation & Voice AI: $0.03 per message and $0.195 per minute of voice call.
• Reviews AI: $0.12 per review response.
• Funnel AI: $1.485 per Funnel AI execution.SMS Charges:
  • • Phone Numbers: Local Numbers: $1.15 / month, Toll-Free Numbers: $2.15 / month. Other countries’ pricing based on Twilio’s rates.
    • Messaging Service – SMS: US/Canada: Outbound SMS: $0.0079 / segment, Inbound SMS: $0.0079 / segment. Other countries: Twilio’s pricing applies.
    • Messaging Service – MMS: US/Canada: Outbound SMS: $0.0200 / segment, Inbound SMS: $0.0100 / segment (To local numbers), $0.0200 (to toll-free numbers). Other countries: Twilio’s pricing applies.
    • Voice Calls: US/Canada: Outbound Call: $0.0140 / minute, Inbound Call: $0.0085 / minute (To local numbers), $0.0220 (to toll-free numbers). Alaska and Yukon Territory exempt. Other countries: Twilio’s pricing applies.
    • Number validation – Carrier Lookup: $0.005 / validation.
    • Other Charges: Client Minutes for Calling, Call Recording, Answering Machine Detection, Voicemail drops, Conference Calls (global), Carrier Charges (additional fees applied by recipient’s carrier).

  Email Charges:

  • • Provider: Lead Connector (leadconnector)
    • Your email cost: $0.000675 / email
    • Charged to customer: $0.001013 / email
    • $10 will give you about 9870 emails.

  4. Limitation of Liability:

  4.1. Katalyst-crm.com shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use our SMS and Email services.
  4.2. In no event shall Katalyst-crm.com’s total liability exceed the amount paid by you for the specific SMS and Email services giving rise to the claim.

  5. Termination:

  5.1. Either party may terminate this Agreement at any time with or without cause upon written notice to the other party.

  5.2. Upon termination, you shall immediately cease all use of Katalyst-crm.com’s SMS and Email services.

  6. Miscellaneous:

  6.1. This Agreement constitutes the entire agreement between you and Katalyst-crm.com regarding SMS and Email services and supersedes all prior agreements and understandings.

  6.2. Katalyst-crm.com reserves the right to modify these terms and conditions at any time. Any changes will be effective immediately upon posting on our website.

  6.3. Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of such provision or any other provision.
